Shore Cloud Tech, LLC — Prism Platform

These Terms of Service (“Terms”) constitute a binding legal agreement between you or the organization you represent (“Subscriber”) and Shore Cloud Tech, LLC (“Shore Cloud Tech”, “we”, “us”) governing your access to and use of the Prism research screening platform (“Prism” or the “Service”). By creating an account, accepting these Terms electronically, or using the Service, you agree to be bound by these Terms. If you are accepting on behalf of an organization, you represent that you have authority to bind that organization.
Prism is a professional research and screening platform. Access is limited to investment professionals, wealth advisors, Registered Investment Advisers (RIAs), registered representatives, and sophisticated investors using the platform for professional research purposes. You may not use Prism as a retail investor seeking personal financial guidance, or in any manner that violates applicable securities laws or regulations. You are solely responsible for ensuring your use of Prism complies with all laws, rules, and regulations applicable to your advisory practice.
Prism is offered on a subscription basis. By subscribing, you authorize Shore Cloud Tech to charge your payment method on a recurring monthly basis at the applicable plan rate. All fees are billed in advance and are non-refundable except as required by applicable law.
Free Trial. New accounts include a 15-day free trial. No charges are incurred during the trial period. Billing begins automatically on day 16 at your selected plan rate. You must cancel before the trial ends to avoid charges. Commencement of a free trial constitutes acceptance of these Terms in full.
Pricing Changes.Shore Cloud Tech reserves the right to modify subscription pricing with 30 days' written notice to active subscribers. Continued use of the Service after a pricing change constitutes acceptance of the new pricing.
You may cancel your subscription at any time through the Billing Portal accessible from your account settings. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
Shore Cloud Tech may suspend or terminate your access immediately if you violate these Terms, fail to pay fees when due (after a 3-day grace period), or engage in conduct that poses a risk to the platform or other users. Upon termination, your right to access the Service ceases and Shore Cloud Tech may delete your data in accordance with our data retention policy.
You agree not to: (a) use the Service to provide unlicensed investment advice to retail clients; (b) scrape, reproduce, or redistribute market data from the platform in violation of data provider terms; (c) attempt to reverse engineer, copy, or create derivative works from the platform software; (d) share account credentials with unauthorized users; (e) use the Service in a manner that violates any applicable law or regulation; or (f) interfere with or disrupt the Service or its infrastructure.
Market data displayed on Prism is sourced from third-party providers and is subject to their respective terms. You may not redistribute, resell, or republish any data obtained through the Service without prior written permission from Shore Cloud Tech and the relevant data providers.
Prism, including its software, AI models, conviction scoring methodology, user interface, and all associated intellectual property, is owned exclusively by Shore Cloud Tech. These Terms grant you a limited, non-exclusive, non-transferable license to access and use the Service during your subscription term for the purposes described herein. No other rights are granted. Your data and content remain your property.
Shore Cloud Tech will make reasonable efforts to maintain Service availability but does not guarantee uninterrupted access. The Service is provided on an “as-is” and “as-available” basis. Scheduled maintenance, third-party data provider outages, or technical issues may result in temporary unavailability. Enterprise plan subscribers are subject to the SLA terms agreed at time of contract execution.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHORE CLOUD TECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING INVESTMENT LOSSES, LOSS OF PROFITS, OR LOSS OF DATA, ARISING FROM YOUR USE OF THE SERVICE. SHORE CLOUD TECH'S TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE FEES PAID BY YOU IN THE THREE MONTHS PRECEDING THE CLAIM.
Your use of Prism is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to the collection and use of information as described in the Privacy Policy.
Shore Cloud Tech may update these Terms at any time. Material changes will be communicated via email or in-app notice with at least 14 days' advance notice. Continued use of the Service after the effective date of updated Terms constitutes acceptance. If you do not agree to updated Terms, you must cancel your subscription before the effective date.
These Terms are governed by the laws of the State of New Jersey, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved exclusively in the state or federal courts located in New Jersey, and you consent to personal jurisdiction in those courts.
